Shareholder Settlement - Results pursuant to the following scenarios:

No shareholders agreement in place - The departing shareholder and continuing shareholder(s) need to mutually determine the value of a business interest prior to settlement.

Shareholders agreement in place - Generally call for the valuation to be mutually agreed upon by the shareholders on an annual basis. This requirement is often not addressed resulting in situations as if there were no shareholders agreement in place when there is a departing shareholder.

Estate Settlement - Arises subsequent to the death of shareholder pursuant to the following scenarios:

No shareholders agreement in place - The estate of the deceased shareholder and continuing shareholder(s) need to mutually determine the value of a business interest prior to settlement of the estate.

Shareholders agreement in place - Generally call for the valuation to be mutually agreed upon by the shareholders on an annual basis. This requirement is often not addressed resulting in situations as if there were no shareholders agreement in place in the event of the death of a shareholder.
